Welcome, and thank you for your interest in indipop LLC, an Arizona limited liability company (“indipop”, “we”, “our”, or “us”). Indipop provides a service where consumers can research and shop for various subscription-based healthcare products from third party providers. Indipop is not an insurance company, but introduces users to subscription-based healthcare and related products offered by third parties. Indipop is not responsible for pricing, fee, or contract terms of the subscription-based healthcare products you enroll in with third parties. We are separate from the third-party subscription-based healthcare providers offering the subscription-based healthcare products, and our Service is designed to facilitate finding these subscription-based healthcare but we do not administer or set the contract terms of the subscription-based healthcare products.
This Terms of Use is entered into by and between you and us. IF YOU ARE ACCEPTING THIS TERMS OF USE ON BEHALF OF A COMPANY OR OTHER LEGAL ENTITY, YOU REPRESENT THAT YOU HAVE THE AUTHORITY TO BIND SUCH ENTITY TO THIS TERMS OF USE, IN WHICH CASE THE TERMS “YOU” OR “YOUR” SHALL REFER TO SUCH ENTITY. THIS TERMS OF USE GOVERNS YOUR USE AND ACCESS OF THE SERVICE AND SHALL SUPERSEDE ALL PRIOR TERMS OR AGREEMENTS BETWEEN YOU AND INDIPOP REGARDING YOUR USE OR ACCESS OF THE SERVICE AND WEBSITE.
The Service is offered and available to users who are 18 years of age or older, and reside in the United States or any of its territories or possessions. By using or accessing the Service, you represent and warrant that you are of legal age to form a binding contract with indipop and meet all of the foregoing eligibility requirements. If you do not meet all of these requirements, you must not access or use the Service.

We may revise and update this Terms of Use from time to time in our sole discretion. All changes are effective immediately when we post them and apply to all access to and use of the Service thereafter.

Acknowledgements
To reiterate the above and for avoidance of doubt, indipop is not involved with, and is not responsible for, any fee arrangement that you may enter into with any subscription-based healthcare provider. You acknowledge and agree that, except where prohibited by law, indipop will not be liable for any losses, costs, damages, or claims in connection with, arising from or related to your use of subscription-based healthcare provider’s products or services, including any fees charged by the provider.
Accessing the Service and Account Security
We reserve the right to withdraw or amend the Service, and any service or material we provide on or through the Service, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Service is unavailable at any time or for any period. From time to time, we may restrict access to some parts, or the entirety of, the Service.
You are responsible for making all arrangements necessary for you to have access to the Service and for ensuring that all persons who access the Service through your internet connection are aware of this Terms of Use and comply with it.
To access the Service or some of the resources it offers, you may be asked to provide certain registration details or other information. DO NOT CANCEL ANY EXISTING SUBSCRIPTION-BASED HEALTHCARE PRODUCT UNTIL YOU RECEIVE WRITTEN CONFIRMATION FROM THE PROVIDER TO WHICH YOU ARE APPLYING THAT YOUR NEW SUBSCRIPTION IS IN EFFECT.
Intellectual Property Rights
The Service and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by indipop, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
This Terms of Use permit you to use the Service for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Service, provided that you may print or download one copy of a reasonable number of pages of the Service for your own personal, non-commercial use and not for further reproduction, publication, or distribution.

indipop name, indipop logo, and all related names, logos, product and service names, designs, and slogans are trademarks of indipop or its affiliates or licensors. You must not use such marks without the prior written permission of indipop. All other names, logos, product and service names, designs, and slogans on the Service are the trademarks of their respective owners.
Prohibited Uses
You may use the Service only for lawful purposes and in accordance with this Terms of Use. THE FOREGOING DOES NOT AFFECT ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
Release
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU HEREBY RELEASE AND FOREVER DISCHARGE INDIPOP, ITS AFFILIATES, EMPLOYEES, CONTRACTORS, OFFICERS AND DIRECTORS, AGENTS, SUCCESSORS, AND ASSIGNS, FROM ALL ACTIONS, CAUSES OF ACTION, INJURIES, CLAIMS, DAMAGES, COSTS, OR EXPENSES OF ANY KIND ARISING OUT OF OR RELATED TO YOUR OR YOUR MINOR CHILD(REN)’S USE OF THE SERVICE, EXCEPT IN CASES OF GROSS NEGLIGENCE OR INTENTIONAL MISCONDUCT BY INDIPOP. YOU UNDERSTAND THAT THIS IS A FULL AND COMPLETE RELEASE TO THE MAXIMUM EXTENT ALLOWED BY LAW OF ALL CLAIMS AND DAMAGES TO WHICH YOU OR YOUR MINOR CHILD(REN) MAY HAVE AS A RESULT OF HIS OR HER USE OF THE SERVICE REGARDLESS OF THE SPECIFIC CAUSE THEREOF.
Indemnification
You agree to defend, indemnify, and hold harmless indipop, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to: (i) your violation of this Terms of Use or your use of the Service, including, but not limited to, any use of the Service’s content, services, and products other than as expressly authorized in this Terms of Use; (ii) your use of any information obtained from the Service; or (iii) any dispute or issue between you and any third party.
Governing Law and Jurisdiction
All matters relating to the Service and this Terms of Use, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of Arizona without giving effect to any choice or conflict of law provision or rule (whether of the State of Arizona or any other jurisdiction).
Any legal suit, action, or proceeding arising out of, or related to, this Terms of Use or the Service shall be instituted exclusively in the federal courts of the United States or the courts of the State of Arizona, in each case located in the City of Phoenix and County of Maricopa although we retain the right to bring any suit, action, or proceeding against you for breach of this Terms of Use in your country of residence or any other relevant country. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.
Restriction on Representative Claims
You agree that any proceeding shall be limited to the dispute between Us and You individually. To the full extent permitted by law, (i) no proceeding shall be joined with any other; (ii) there is no right or authority for any dispute to be resolved on a class action-basis or to utilize class action procedures; and (iii) there is no right or authority for any dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.
Limitation on Time to File Claims
ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THIS TERMS OF USE OR THE SERVICE MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.
Waiver and Severability
No waiver by indipop of any term or condition set out in this Terms of Use shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of indipop to assert a right or provision under this Terms of Use shall not constitute a waiver of such right or provision.
If any provision of this Terms of Use is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Use will continue in full force and effect.
Electronic Communications
By providing us with a telephone number and other contact information, you agree to receive communications, including via-email and calls (including text messages and calls made using an autodialer or prerecorded voice message), from or on behalf of indipop (or our affiliates, subsidiaries, employees, contractors, agents, business partners or other third parties permitted to receive your information under our Privacy Policy) at the email address or telephone number you provided, even if that number is on a National or State Do Not Call List. These calls may be for information and marketing purposes, such as to provide you with information about our services and your healthcare product options, for assistance with applications, and to provide reminders of deadlines. You may revoke any consent for marketing messages, phone calls or text messages at any time by contacting us at [email protected] or following the instructions to opt out in a text or email. Standard text messaging and telephone minute charges applied by your cell phone carrier will apply.
Payment
indipop does not take payment information. If you provide payment information for purchasing or applying for a product, then you will pay our applicable business partner or company that provides such product.
Entire Agreement
The Terms of Use and our Privacy Policy constitute the sole and entire agreement between you and indipop regarding the Service and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Service.

The Service is operated by indipop LLC. All other feedback, comments, requests for technical support, and other communications relating to the Service should be directed to [email protected].
